PAUL J. MARINO

Mr. Marino concentrates his practice on representing emerging managers in the pooled investment space (e.g., hedge and private equity funds), structured finance products, portfolio companies, and corporations.  Mr. Marino is a graduate of Brooklyn Law School where he was a member of Phi Delta Phi National Legal Honor Society.  He completed his undergraduate degree at the University of Delaware where he received a BA in History. Prior to forming Marino & Associates, P.C. in December of 2005, Mr. Marino spent several years at two boutique corporate firms in New York City and Westchester County, New York.

Mr. Marino assists his clients in all areas of corporate law including structuring of pooled investments, commercial lending agreements, negotiation and drafting of merger and acquisition documents, private placement offerings, and other transactional agreements.  Dovetailed with his transactional experience, Mr. Marino advises his clients in matters concerning corporate finance, governance and regulation including financial privacy, acceptable use policies, disclosure statements, ADV's, and compliance handbooks and manuals. He has experience in representing sophisticated corporate clients, closely held and emerging growth corporations.  He has negotiated and drafted merger and acquisition, shareholder, private placement, and various corporate agreements.  In addition to the foregoing, Mr. Marino offers his clients real estate services, including the purchasing, selling and financing of real property.  To that extent, he has a considerable knowledge base in corporate finance law with a special concentration in commercial and private lending.
      
Mr. Marino is currently engaged in writing a hedge fund book for law journal press, he is an active member in the New York State Bar, the co-Chairperson for the Commercial and Corporate Group for the Westchester County Bar Association, contributing editor to VCexperts, Executive Board Member and Chief Operating Officer and Executive Editor for the Young Venture Capital Society (www.yvcs.org), and is a contributing writer to the NEW YORK LAW JOURNAL'S INTERNET and ADVISING STARTUP COMPANIES newsletters. Paul is also a board member of the Miracle League of Westchester, a not for profit organization that helps physically and mentally challenged children participate in baseball (http://eteamz.active.com/mlwny).
